涉外商务合同按繁简不同，尽管可以采取不同书面形式，如正式合同（Contract）、协议书/合约（Agreement）、确认书（Confirmation）、备忘录（Memorandum）、订单（Order）等等，但是一般都包含如下几个部分：
一、合同名称（Title）
二、前文/导言（Preamble）
订约日期和地点（Date and place of signing ）
合同当事人及其国籍、主营业所或住所（Signing parties and their nationalities, principal place of business or residence addresses）
当事人合法依据［Each partys authority，比如，该公司是“按当地法律正式组织而存在的”（a corporation duly organized and existing under the laws of XXX） ］或比如，该公司是“根据英属维尔京群岛的法律所组建的公司”，其通讯地址为…（a company incorporated under the laws of British Virgin Islands，and having its correspondence address at…）
订约缘由/说明条款（Recitals or WHEREAS clause）

三、本文（Body）
1.定义条款（Definition clause）：
客户（们）customer(s)；单独合同（individual contract(s)）；交付地点（delivery point）；
零件（parts）；产品（products）；定购单（purchase order）；地域（Territory）；商标（trademark）。

1）appointment and acceptance 委派与接受
as the sole and exclusive distributor for the sale，marketing and distribution of the Procucts for and in the Territory。
作为该产品在该地域内唯一的、准许的经销商，从事本产品的销售、营销及分销事宜。
2）sale and distribution 销售及分销

Provisions of the agreement 合约的条款
Any failure by either party to enforce at any time any of the provisions of this agreement and/or any individual contract Shall not be construed to be a waiver of such provisions or of the right of such party to enforce such provisions at a later time。

以上的格式和内容并非一成不变，当事人可以根据各自交易情况做出调整或增删。
1.has the right to appoint the Distributor as the sole and exclusive distributor of the Products in the Territory.
他们有权委任本经销商为本地域内唯一的特许总经销商。
2.You hereby agree to indemnify, hold harmless and defend the BBC in respect of all damages, costs and expenses, including reasonable legal fees and litigation expenses, arising out of or as a result of any breach of the Standard Licence Terms or otherwise in connection with your use of the BBC Feed (including the BBC Content).
您同意，在出现因违反标准使用批准条款或在其它场合您使用BBC材料提供服务（包括BBC内容）而导致损失、赔偿或开支（包括合理的法律费用和诉讼开支）时，您会维护BBC，并且会向BBC作出赔偿，并认为BBC无须为问题负责。
