劍橋員工保密承諾書
1. 承諾人 黎金鈴 於劍橋國際語言顧問社(以下簡稱本公司)服務期間,基於職務、地緣等關係,所直接或間接取得或獲悉本班之營業秘密,承諾人願意遵守保密義務;並承諾不以不正當方法取得,使用或洩漏營業秘密。不正當方法係指盜竊、詐欺、脅迫、賄賂、擅自重製、違反保密義務、引誘他人違反其保密義務或其他類似方法。
2. 承諾人知悉下列列舉項目,皆已列為本班營業秘密:
〈一〉 教學性資料:
本公司之教材、講義、補充教材、教師基本資料、學員名單及所有相關資訊。
〈二〉 業務性資料:
營業狀況、市場情報、客戶名單、投資計畫、行銷企劃、廠商資料及其他業務上屬於機密性之資料。
〈三〉 財務性資料:
未經公開之財務報表〈如資產負債表、損益表、現金流量表、股東權益變動表、費用明細表、年度預算〉、管理費用分析表、薪資及其他有關營運、財務上之機密資料。
〈四〉 開發性資料:
開發中之課程等機密資料。
〈五〉 管理性資料:
人事資料〈含薪資、考績及其他相關資料〉、資產管理資料、各種合約及其相關資料、其他經主管人員認為有保密必要之一切文件。
〈六〉 其他經本公司標示「機密」或其他同意字樣之資訊及公司列為保密之項目及規定。
3. 承諾人基於對前述本公司營業秘密之認識,如有任何違反承諾行為,除應負刑法第三百十七條洩漏工商秘密刑責外;其民事責任依營業秘密法負損害賠償責任,或賠償本公司相當於承諾人在職或離職時薪資30倍之金額,其選擇權歸於本公司。此外並同意賠償前述相當金額之懲罰性違約金。
4. 承諾人承諾除非或獲得本公司書面同意,不引用公司資料自撰文章或交由他人發表,如有違反依本承諾書第三條之規定,負其民事責任。
5. 承諾人因本承諾書所負之保密義務,不因承諾人與本公司僱佣契約之終止、撤銷、無效或不成立而失其效力。承諾人並承諾離職後,無論任何情況下,絕不以不正當方法洩漏,使用或取得前述秘密。
以上事項,經員工確認同意,簽名後即日起實施以示負責。

1. _________________, described hereafter as “the undersigned” is employed by Cambridge, at the pleasure of Cambridge, for a period of time to be determined by Cambridge. Any business information arising from and/or gathered either directly or indirectly in the course of such employment is absolutely confidential. The undersigned is obligated not to reveal such information to any person outside Cambridge’s employ. Any violation of this rule, or any attempt whether by stealth, fraud, threat, bribery, seduction, etc to obtain business related information will be subject to legal action.
2. Business related information includes:
Instructional information ~ Cambridge’s instructional texts, supplementary materials, teacher’s personal profiles, student name lists and any other related materials
Marketing/sales information ~ business status, sales/marketing information, client lists, investment plans, and any sales related confidential data
Financial information ~ unrevealed financial documents (ie. balance sheets, equity sheets, cash flow sheets, course price quotations, annual budgets), operational expenses, salary scales, and any other management or financially related data
Development information ~ any potential clients or any courses which are under development by Cambridge
Administrative information ~ Human resources data (including salaries, performance appraisals and related info), asset management, all types of contracts and other data which are considered confidential by Cambridge management
Any information or document which is labeled confidential by Cambridge
3. The undersigned fully acknowledges the confidential nature of the preceding business related data, and accepts that any violation of such confidentiality on his/her part will result in his/her being subject to Section 317 of the Criminal Code which deals with infringement of commerce through revelation of confidential materials. Furthermore punishment will not be limited to criminal prosecution but will include litigation according to Civil Law, which may result in fines up to 30 times the undersigned’s monthly salary. Cambridge reserves the right to choose the means and extent of punishment or penalty.
4. The undersigned must not declare, publish, or issue any articles or written work without Cambridge’s consent/approval. Any violations will be subject to civil litigation.
5. The undersigned remains responsible to maintain the confidentiality of any of the aforementioned information even after employment contract termination. Under any circumstances, the undersigned must not reveal any such information lest he/ she be subject to litigation
The undersigned acknowledges that he/she has read, understands and agrees to the aforementioned employment stipulations and acknowledges that they become effective upon his/her signature of this document.
